Client Subscription/Enterprise Agreement

This Subscription Agreement (the “Agreement”) and all exhibits or attachments attached herein is between Voices Inc. (“Voices”) and the client (“Client”).

Voices shall provide the following subscription services (“Services”) pursuant to the terms and conditions detailed below. Client’s use of the online website www.voices.com shall be governed by Voices Terms of Service (“TOS”).

TERMS AND CONDITIONS

AGREEMENT: The purpose of this Agreement is to establish a mutually beneficial relationship between the Client and Voices by outlining key terms and conditions of the Services.

FEES: Client will pay all fees specified in this Agreement. Fees are based on Services subscriptions purchased and not actual usage. Voices standard payment terms are net 30 days from the date of the invoice.

CANCELLATIONS/REFUNDS: Payment obligations are due on schedule, and are non-cancelable. Subscriptions purchased cannot be decreased during the relevant subscription term. There are no refunds for subscriptions. Subscriptions paid in full will continue until the completion of the Subscription Period.

INVOICING AND PAYMENT: Client will provide Voices with valid and updated credit card information, or with a valid purchase order to facilitate the processing and payment by Client in accordance with Voices standard payment terms. If Client provides credit card information to Voices, Client authorizes Voices to charge such credit card for all Services listed in this Agreement for the initial subscription term and any renewal subscription term(s) as set forth in the “Account Details” section above. Such charges shall be made in accordance with the billing frequency stated in the Account Details. If the Account Details specifies that payment will be by a method other than a credit card, Voices will invoice Client on the Services Renewal Date. Client is responsible for providing complete and accurate billing and contact information to Voices and notifying Voices of any changes to such information.

SUBSCRIPTION PERIOD: Subscription is for a 12 month period where the client receives the Services outlined on this page: https://www.voices.com/plans/

RENEWAL: The Client will receive a renewal notification email 60 days prior to the Services Renewal Date. Renewals will be automatically processed unless the Client notifies Voices on or before 30 days prior to the Services Renewal Date.

ENTIRETY: This Agreement constitutes the entire understanding between the Client and Voices and supersedes any prior discussions, representations, and understandings.

GOVERNING LAW: This Agreement shall be governed by the laws of the Province of Ontario, Canada.
